Acceptance of Terms

By accessing or using the DomoDomu website at domodomu.com or any of our platform services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use our Services.

Description of Services

DomoDomu, Inc. (“DomoDomu,” “we,” “us,” or “our”) provides a SaaS platform building modern infrastructure for the property management ecosystem, including property payments, landlord tools, property management operations, and HOA management software.

Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or any entity you represent. By using the Services, you represent and warrant that you meet these requirements.

Accounts and Registration

To access certain features of the Services, you may be required to register for an account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information to keep it accurate, current, and complete.
• Maintain the security of your password and accept all risks of unauthorized access to your account.
• Notify DomoDomu immediately if you discover or suspect any security breaches related to the Services or your account.

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable federal, state, local, or international law or regulation.
• Transmit any material that is defamatory, obscene, abusive, offensive, harassing, or otherwise objectionable.
• Attempt to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services.
• Use any robot, spider, or other automatic device or process to access the Services for any purpose without our prior written permission.
• Interfere with or disrupt the integrity or performance of the Services or the data contained therein.

Subscription and Payment

Certain features of the Services may be offered on a subscription basis. By selecting a subscription, you agree to pay DomoDomu the applicable fees as they become due. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such amounts.

DomoDomu reserves the right to modify pricing for the Services at any time upon reasonable notice. Your continued use of the Services after any price change constitutes your agreement to pay the updated amount.

Intellectual Property

The Services and their entire contents, features, and functionality are owned by DomoDomu, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. These Terms do not grant you any right, title, or interest in the Services or any content therein.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER DOMODOMU NOR ANY PERSON ASSOCIATED WITH DOMODOMU MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.

Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL DOMODOMU, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Indemnification

You agree to defend, indemnify, and hold harmless DomoDomu, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services.

Termination

We may terminate or suspend your access to all or part of the Services, without notice, for any conduct that we, in our sole discretion, believe is in violation of any applicable law or is harmful to the interests of another user, a third party, DomoDomu, or its affiliates. Upon termination, your right to use the Services will immediately cease.

Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Georgia, without giving effect to any choice or conflict of law provision. Any legal suit, action, or proceeding shall be instituted exclusively in the federal or state courts located in the City of Atlanta, County of Fulton, Georgia.

Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.
